Welcome to Veridan. This website is operated by Keanu Greene, a sole proprietorship doing business as "Veridan" ("Veridan," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of veridan[.com] (the "Site") and any purchase you make through it (collectively, the "Service"). By accessing the Site, placing an order, or subscribing to our marketing communications, you agree to these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your state, to use this Service or make a purchase. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Nature of Our Products — Dropshipping Disclosure

Veridan operates as a dropshipping retailer. We do not manufacture or warehouse the products sold on this Site. Instead, orders are fulfilled directly by third-party suppliers, who may be located domestically or internationally. By purchasing from us, you acknowledge and agree that:

  • Product images, descriptions, and specifications are provided by suppliers and, while we make reasonable efforts to ensure accuracy, may occasionally differ slightly from the item received (e.g., minor color, packaging, or labeling variation)
  • Delivery times are estimates only and depend on supplier processing and international/domestic carrier transit (see our Shipping Policy)
  • Multi-item orders may ship in separate packages from separate suppliers, and may arrive at different times
  • Packaging, invoices, and shipping labels may reference a supplier or fulfillment partner rather than "Veridan"

This structure does not reduce your consumer protections. Veridan remains your point of contact and is responsible for customer service, order issues, and resolving disputes related to your purchase.

3. Account Registration

If you create an account with us, you're responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@shopveridan.com of any unauthorized use.

4. Products, Pricing & Availability

  • All prices are listed in [USD] and are subject to change without notice.
  • We make reasonable efforts to display accurate pricing and availability, but errors may occur (including supplier pricing errors). We reserve the right to cancel or refuse any order affected by a pricing or listing error, even after order confirmation, and will notify you and issue a full refund if this occurs.
  • We reserve the right to limit sales of any product to any person, region, or jurisdiction, and to discontinue any product at any time.

5. Orders & Order Acceptance

Your receipt of an order confirmation does not guarantee acceptance of your order. We reserve the right to refuse, limit, or cancel any order for any reason, including suspected fraud, unauthorized or illegal activity, errors in pricing or product information, or issues with supplier inventory. If we cancel an order after payment has been captured, we will issue a full refund.

6. Payment

By providing payment information, you represent and warrant that you are authorized to use the designated payment method. Payment is processed securely through our third-party payment processor(s); Veridan does not store your full payment card details.

7. Shipping, Returns & Refunds

Shipping timelines and costs are outlined in our Shipping Policy. Return and refund eligibility is outlined in our Return and Refund Policy. Both are incorporated into these Terms by reference.

8. Intellectual Property

The Veridan name, logo, and all original content on this Site — including text, graphics, layout, and design  Product images and descriptions supplied by third-party manufacturers remain the property of their respective owners. You may not reproduce, distribute, or create derivative works from any Site content without our prior written consent.

9. Prohibited Uses

You agree not to use the Site to: violate any law or regulation; infringe our or any third party's intellectual property rights; transmit malware or engage in unauthorized data scraping; harass, abuse, or defraud us, our suppliers, or other customers; or attempt to gain unauthorized access to our systems.

10. User-Generated Content

If you submit reviews, comments, or other content to us (including via social media or marketing replies), you grant Veridan a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content for marketing and promotional purposes, unless you tell us otherwise in writing.

11. Email & SMS Marketing Communications

By providing your email address or phone number at checkout, through a sign-up form, popup, or other opt-in method, and affirmatively agreeing to receive marketing communications, you consent to receive promotional and transactional messages from Veridan, including but not limited to order updates, abandoned cart reminders, product announcements, and promotional offers, via email and/or SMS text message.

  • Consent is not a condition of purchase. You can complete a purchase without opting in to marketing messages.
  • Message frequency varies. Message and data rates may apply for SMS communications.
  • Opt-out: You may unsubscribe from marketing emails at any time using the "unsubscribe" link in any email. You may opt out of SMS messages at any time by replying STOP to any text message. Reply HELP for assistance. You may continue to receive transactional or account-related messages (e.g., order confirmations, shipping updates) even after opting out of marketing, unless otherwise required by law.
  • Carrier disclaimer: Carriers are not liable for delayed or undelivered messages.
  • By opting in, you also agree to our Privacy Policy, which describes how we collect, use, and protect your information, including your contact details, in connection with these communications.
  • Consent to receive SMS marketing is obtained separately from consent to receive email marketing where required by applicable law (e.g., TCPA in the United States), and each may be withdrawn independently.

Note: SMS marketing carries specific legal requirements (TCPA compliance, express written consent, required disclosures at the point of opt-in). Make sure your actual sign-up forms/checkboxes match this language exactly and are reviewed by an attorney or your SMS marketing platform's compliance resources (e.g., Klaviyo, Postscript, Attentive) before launch.

12. Disclaimer of Warranties

The Service and all products are provided "as is" and "as available," without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except where such disclaimers are not permitted by law.

13. Limitation of Liability

To the fullest extent permitted by law, Veridan, its owner, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service or any product purchased, even if advised of the possibility of such damages. Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid for the product(s) giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless Veridan, its owner, and affiliates from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising from your breach of these Terms or your violation of any law or third-party right.

15. Third-Party Links & Services

Our Site may contain links to third-party websites or services (including supplier or shipping carrier sites) that are not owned or controlled by Veridan. We are not responsible for the content, policies, or practices of any third-party sites.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Nevada, and you consent to the jurisdiction of those courts.

17. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Changes to These Terms

We may update these Terms at any time by posting the revised version on this page with an updated "Last updated" date. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
